ReplyFlux is a software tool that assists users with email workflows.

The Service may include the ReplyFlux website, web app, Chrome extension for Gmail, Outlook add-in, AI-assisted drafting and refinement, CRM-aware context, contact information, history and lookup features, and calendar or other connected integrations.

ReplyFlux may use information from email context and third-party services you choose to connect in order to generate requested drafts, answers, and other features.

The Service is an assistive tool. You remain responsible for reviewing, editing, approving, and sending communications and for decisions you make based on information provided through ReplyFlux.

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.

If you use ReplyFlux on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

Certain features require a ReplyFlux account.

You agree to:

• Provide accurate information
• Maintain the security of your credentials and devices
• Use reasonable measures to prevent unauthorized access
• Notify us promptly if you become aware of unauthorized use of your account

You are responsible for activity occurring through your account to the extent permitted by applicable law.

ReplyFlux may connect to third-party services such as Google, Microsoft, Salesforce, HubSpot, Pipedrive, Zoho CRM, Attio, calendar providers, payment processors, and other services.

Your use of those services is governed by their own terms, policies, permissions, and agreements.

By connecting an integration, you authorize ReplyFlux to access and process information available through that integration to the extent necessary to provide functionality you request and within the permissions you approve.

You represent that you have all rights, permissions, and authorization necessary to connect accounts and process information made available through them.

Unless expressly stated otherwise, TKH Digital is not affiliated with, sponsored by, or endorsed by third-party providers whose services integrate with ReplyFlux.

Third-party integrations may change, become unavailable, experience outages, modify their APIs, revoke access, or impose restrictions outside our control. We do not guarantee the continued availability of any specific third-party integration.

You may not use the Service to:

• Violate applicable law or regulation
• Engage in fraud, deception, abuse, harassment, or other unlawful conduct
• Send spam, phishing messages, malware, or unauthorized bulk communications
• Violate applicable anti-spam, privacy, consumer-protection, or data-protection laws
• Process information you do not have the right or permission to access or use
• Circumvent security measures, usage limits, billing controls, or access restrictions
• Attempt to gain unauthorized access to ReplyFlux or another user's account or data
• Intentionally interfere with or disrupt the Service
• Introduce malicious software or harmful code
• Scrape, copy, reverse engineer, decompile, or attempt to derive source code except to the extent such restrictions are prohibited by applicable law
• Use ReplyFlux in a manner that violates applicable third-party platform terms
• Misrepresent AI-generated content as human-generated where disclosure is required by applicable law or binding policy
• Use the Service for any unlawful, harmful, or unauthorized purpose

We may investigate suspected abuse and may restrict, suspend, or terminate access for violations of these Terms.

ReplyFlux uses artificial intelligence to provide certain features.

AI-generated outputs may be inaccurate, incomplete, misleading, outdated, biased, or inappropriate.

You are responsible for reviewing and verifying outputs before relying on them, sending communications, making commitments, quoting prices, scheduling activities, or taking other action.

ReplyFlux does not provide legal, financial, medical, tax, accounting, investment, employment, regulatory, or compliance advice.

You should obtain appropriate professional advice when necessary.

ReplyFlux does not independently send an email merely because an AI draft has been generated. Sending communications remains subject to your actions and the functionality of your email client or connected service.

Information obtained from an email, CRM, calendar, or other connected source may be incomplete, outdated, inaccurate, duplicated, conflicting, or misinterpreted.

Automated extraction and AI processing may also introduce errors.

You are responsible for verifying important information before acting on it, including:

• Recipient identity
• Names and contact details
• Dates and meeting information
• Commitments
• Prices and financial information
• Deal status
• Deadlines
• Contractual information
• Other material facts

ReplyFlux may offer free, trial, promotional, or paid plans.

Features and usage limits may vary by plan and may include limits on AI requests, generated emails, lookups, integrations, seats, or other functionality.

Current pricing and applicable plan information will be presented through the Service or purchase flow.

If you purchase a paid subscription, you authorize TKH Digital and its payment processor to charge the applicable subscription fees, taxes, and other disclosed charges to your selected payment method.

Unless the applicable purchase flow expressly states otherwise, paid subscriptions automatically renew for successive monthly or annual periods corresponding to the subscription you selected until canceled.

You may cancel through the account or billing controls made available through the Service.

Unless otherwise stated or required by law, cancellation prevents future renewals and takes effect at the end of the then-current paid billing period. You can cancel from the billing page in the app.

Upgrades, added seats, and added email packs are invoiced when you confirm them. Downgrades, fewer seats, and fewer email packs take effect at the end of the current billing period. A change that both adds and removes something is invoiced when you confirm it.

If a payment fails, paid plan limits continue for 7 days from when the payment first fails. After those 7 days, free limits apply until the payment is updated. Drafts, connections, and saved contacts are not deleted because a payment failed or a plan changed.

Fees already paid are non-refundable except where:

• required by applicable law, or
• we expressly state otherwise.

We may change plans, features, usage limits, or pricing.

Where applicable law requires advance notice of a pricing or subscription change, we will provide the required notice.

Failure to pay amounts when due may result in restriction, downgrade, suspension, or termination of paid functionality.

If you voluntarily provide ideas, suggestions, recommendations, or other feedback about ReplyFlux, you grant TKH Digital a worldwide, perpetual, irrevocable, royalty-free right to use that feedback for any lawful purpose without compensation or obligation to you.

This does not grant us ownership of your underlying customer content merely because feedback relates to the Service.

describes how we collect, use, disclose, retain, and protect information in connection with ReplyFlux.

Use of the Service is subject to that Privacy Policy.

You may stop using ReplyFlux at any time.

Where available, you may cancel subscriptions, disconnect integrations, or delete your account through the applicable account controls.

We may restrict, suspend, or terminate access if:

• You violate these Terms
• Your use creates a security, legal, operational, or fraud risk
• Payment is overdue
• We are required to do so by law or a third-party platform
• We discontinue all or a material portion of the Service

Where reasonable and legally permitted, we will provide notice of a termination caused by discontinuation of the Service.

Upon termination, your right to use the affected Service ends.

Provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, payment obligations already incurred, disclaimers, limitations of liability, indemnification, dispute resolution, and miscellaneous terms.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TKH DIGITAL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

WE DO NOT WARRANT THAT:

• THE SERVICE WILL ALWAYS BE AVAILABLE, SECURE, OR ERROR-FREE
• DEFECTS WILL ALWAYS BE CORRECTED
• THIRD-PARTY INTEGRATIONS WILL REMAIN AVAILABLE
• AI OUTPUTS WILL BE ACCURATE OR SUITABLE FOR A PARTICULAR PURPOSE
• THIRD-PARTY DATA WILL BE ACCURATE, CURRENT, OR COMPLETE

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TKH DIGITAL AND ITS MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TKH DIGITAL'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT YOU PAID TO TKH DIGITAL FOR THE SERVICE DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

(B) ONE HUNDRED U.S. DOLLARS ($100).

THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless TKH Digital and its members, officers, directors, employees, contractors, agents, and affiliates from third-party claims, damages, losses, liabilities, judgments, costs, and reasonable attorneys' fees arising out of or related to:

• Your unlawful or unauthorized use of the Service
• Content or communications you submit, generate, or send using the Service
• Your violation of these Terms
• Your violation of applicable law
• Your violation of a third party's rights
• Your connected integrations
• Your failure to obtain appropriate rights or authorization for information you process through ReplyFlux

This obligation applies only to the extent permitted by applicable law.

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.

To the extent legally permitted, exclusive jurisdiction and venue for disputes arising out of or relating to these Terms or the Service will lie in the applicable state or federal courts located in Georgia, and you consent to personal jurisdiction in those courts.

Nothing in this section prevents either party from seeking injunctive or equitable relief where appropriate.

If you are a consumer in a jurisdiction that provides mandatory rights or forums that cannot be waived by contract, those rights are not affected by this section.

We may add, remove, modify, suspend, or discontinue features of ReplyFlux.

Third-party integrations and AI models may also change or become unavailable.

We do not guarantee that a specific feature, integration, provider, or model will remain available indefinitely.

Where applicable law requires notice regarding a material change affecting a paid subscription, we will provide the required notice.

We may modify these Terms from time to time.

We will post the updated Terms at:

and update the “Last updated” date.

If a change is material, we will provide additional notice where required by applicable law.

Your continued use of the Service after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.

If applicable law requires affirmative consent to a particular change, we will obtain that consent.

Entire agreement. These Terms and documents expressly incorporated into them constitute the agreement between you and TKH Digital regarding the Service.

Severability. If any provision is found unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

No waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.

Assignment. You may not assign or transfer these Terms without our prior written consent. TKH Digital may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, or sale of all or substantially all relevant assets, subject to applicable law.

No agency. These Terms do not create a partnership, joint venture, employment, fiduciary, franchise, or agency relationship between you and TKH Digital.

Force majeure. TKH Digital will not be liable for delay or failure caused by circumstances beyond our reasonable control, including internet or infrastructure failures, natural disasters, governmental action, labor disputes, cyberattacks, provider outages, or failures of third-party platforms.

Headings. Section headings are for convenience only and do not affect interpretation.
